Next Internet is seeking an experienced attorney to focus on licensing and related transactions. Your primary responsibilities will include negotiating, drafting, and analyzing a wide variety of content licensing, sales, strategic alliance, development agreements, and related agreements for Next Internet. We are looking for a diligent and proactive person who can bring sharp business judgment and strategic thinking, along with the ability to work independently as well as collaboratively in a collegial, fast-paced team environment.   

 

Responsibilities:

·        Daily review, drafting and negotiation of content license agreements, sales contracts, licenses/intellectual property agreements and other agreements and products. Daily in-house client interaction

·        Work with internal clients and attorneys for customers and vendors to identify objectives and negotiate rigorous contracts

·        Manage contracting processes

·        Respond promptly to legal requests from business development, sales, licensing, marketing, and other business clients

·        Negotiate agreements that comply with company policies and risk tolerance

·        Summarize and communicate legal concepts for use by business people

·        Support the continuous improvement of standard form agreements and legal processes

·        Advise sales professionals and management, as well as finance and other departments on legal issues and risks, complex deal structures, approval processes, company policies and procedures, intellectual property, and negotiation strategy

·        Determine the appropriate legal and business language and draft legal documents that accurately capture the terms of a transaction and minimizes legal risk to the company

·        Review and analyze documents in order to determine contractual obligations

·        Determine the proper approval levels for all functional areas, such as approvals for pricing, revenue recognition, credit, and product-line issues

·        Communicate and interpret the terms of contracts to appropriate parties, including Sales, Finance, Marketing, and executive management

·        Ensure that contract provisions can be implemented and that contracts are capable of being administered after execution

·        Identify areas for improvement in policies and processes for the legal department

·        Advise business development clients, as well as finance and other company departments on legal issues and risks, complex deal structures, approval processes, company policies and procedures, intellectual property, and negotiation strategy

·        Support the continuous improvement of standard form agreements and legal processes

·        Special projects as requested

 

 

Qualifications:

·        JD degree with excellent academic credentials from a top law school a major plus

·        4-7 years in-depth experience in complex negotiations, with broad transactional background in new media, Internet, content and technology licensing agreements

·        Start up environment experience preferred

·        Excellent interpersonal skills, dynamic and highly team-oriented

·        Significant experience in business development and intellectual property matters

·        Extraordinary business judgment and strategic thinking

·        Superior work ethic, well organized and able to manage numerous projects simultaneously under deadline

·        Entrepreneurial spirit and creative thinking

·        Team player

·        Contributes to team effort by accomplishing related results as needed

·        Enthusiastic and assertive

·        Detail oriented with the ability to multi-task

·        Problem solver, pro-active, and willing to drive issues through to conclusion

·        Effective written, verbal, negotiation, time-management, and organizational skills

·        Able to work and communicate at a detailed or high level

·        Ability to exercise judgment independently with respect to the development and implementation of alternatives to resolve contract issues

·        Able to manage and execute job under pressure and maintain a professional demeanor

·        5-7 years of product management experience, preferably in the
